Strategic Legal Guidance for Virginia LLC & Business Owners

Forming a Virginia LLC or PLC is more than a filing with the State Corporation Commission. It is the legal foundation of your business.

Dunlap Law provides attorney-led Virginia LLC and business formation for founders who want strategic guidance. We advise on ownership structure, decision-making authority, equity alignment, and governance, so your operating documents reflect how your business will function.

The decisions made at formation shape control, risk exposure, and long-term flexibility.

We help you get those decisions right the first time.

Virginia LLC Formation Can Be Risky Business

In Virginia, anyone can quickly form an LLC online and many do.  Five years later, only 48% are still operating.

You’re not starting a business.  You’re stepping into the arena.

A 2021 survey found small business owners face 8 to 10 legal issues every year. Many do not recognize legal risks until the consequences are unfolding.

Governance gaps, unclear authority, and misaligned ownership structures surface under pressure—often when your business can least afford disruption.

Businesses fail because early decisions quietly compound risks.

We routinely advise Virginia business owners whose early formation documents did not address the full range of legal questions. What began as a DIY Virginia LLC filing later surfaced as disputes, stalled transactions, or exposure to personal liability.

Case Examples

Preserving Family Property Through a VA LLC

Multiple heirs inherited Virginia real estate, and any co-owner could have forced a court-ordered sale through partition. The family wanted to preserve the property without triggering future conflict.

We formed a Virginia LLC and drafted an operating agreement addressing buyouts, valuation, shared use, and successor rights. By converting co-ownership into structured LLC membership, the family eliminated partition risk and replaced uncertainty with enforceable governance.

Structuring a Multi-Member VA LLC

A group of professionals launched a Virginia association requiring shared leadership and clear decision-making authority. They needed a structure that supported growth without internal friction.

We formed a Virginia LLC and drafted a customized operating agreement defining voting rights, member admission and removal, and governance authority. Rather than relying on default statutory rules, the agreement was designed to reflect how the organization intended to function in practice.

Supporting a Serial Entrepreneur Through Multiple LLC Formations

A Virginia entrepreneur launching multiple ventures needed each business structured deliberately from the outset. Different projects required distinct ownership structures, operating terms, and risk considerations.

We formed multiple Virginia LLCs and drafted customized operating agreements aligned with the strategic purpose of each venture. By structuring each entity intentionally at formation, the founder maintained clarity across projects while preserving liability protection and operational flexibility.

Virginia LLC Formation Can Be Risky Business

Virginia entities are subject to ongoing obligations, including annual registration fees, registered agent requirements, and maintaining good standing with the State Corporation Commission. Failure to comply can result in administrative dissolution and loss of liability protection.

We guide clients through Virginia-specific formation and compliance requirements to ensure their entity is properly established and remains in good standing from the outset.

Virginia businesses are governed by state statutes that establish default rules for ownership, management authority, voting rights, and fiduciary duties.  Those default provisions may not align with how you intend to operate your business.  Thoughtful formation involves understanding those statutory rules and determining where customized governing documents are appropriate.

Professional businesses such as lawyers, doctors, architects, and accountants must comply with additional requirements when forming a Professional Limited Company (PLC) or Professional Corporation (PC).  Licensing considerations, ownership eligibility, and regulatory oversight can affect both structure and documentation.

FREQUENTLY ASKED QUESTIONS:

What is included in DL’s flat fee packages?

We price our packages to remove uncertainty and avoid surprises.  Every flat fee package includes attorney-led entity formation, custom governing documents, and ongoing legal guidance during your early growth phase.

Each package also includes at least two follow-up calls with your attorney: an early check-in and a six-month strategy call. We have learned over years of forming Virginia LLCs that early legal conversations prevent expensive problems later.

What happens after my entity is formed?

We provide the charter documents you need to open a business bank account and walk you through the terms that will govern how your business operates.

Governing documents often determine future success or failure, so we take the time to understand your goals before finalizing them. We use those conversations to draft custom documents that align ownership, authority, and decision-making with how you actually plan to run the business.

Do I need an operating agreement if I am the only owner?

Yes. An operating agreement establishes legal ownership and clarifies who has authority to bind the LLC. It also helps preserve limited liability by showing that the business is legally distinct from you personally.

Even single-owner LLCs benefit from clear documentation. For more information, read our blog on this topic.

How much does it cost to form a Virginia LLC with a DL attorney?

Costs vary based on complexity and the level of guidance you want. Our flat fee packages are designed to give founders clarity upfront, with no surprise billing. We will help you choose the right option based on your goals and risk tolerance.
