Virginia State Bar Legal Ethics Opinion 1901 (LEO 1901) is the Virginia bar’s guidance on the ethics of flat fees and value-based pricing. The short version: a flat fee is reasonable under Rule 1.5 when it reflects the value the client actually receives — including the lawyer’s expertise, the quality of the work product, and the firm’s investment in tools and processes that produce reliable results. LEO 1901 makes clear that fees do not have to be tied to billable hours to be ethical, and that firms that invest in efficiency-creating tools (including generative AI) can structure pricing around value rather than time.
